PARTICIPATION CONSTITUES PARTICIPANT’S FULL AND UNCONDITIONAL AGREEMENT TO AND ACCEPTANCE OF THESE "OFFICIAL RULES".
I. SWEEPSTAKES PERIOD: The Ventura Foods “Dean’s Dipstakes Party” Sweepstakes (the “Sweepstakes”) begins on or about 12:01 a.m. Eastern Daylight Time (“EST”) on Tuesday, November 03, 2009 and ends at 11:59 p.m. Eastern Standard Time (“EST”) on Tuesday, February 9, 2010 (the “Entry Period”). The Sweepstakes is sponsored by Ventura Foods, LLC, 40 Pointe Dr., Brea, CA 92821 (the “Sponsor”).
II. ELIGIBILITY: The Sweepstakes is open only to legal residents of any one (1) of the fifty (50) United States (“U.S.”), or the District of Columbia (“D.C.”), who are eighteen (18) years of age or older as of November 3, 2009 (“Start Date”). Void in Puerto Rico, the U.S. Virgin Islands, U.S. Military installations in foreign countries, and where prohibited by law. Officers, members, directors and employees of Sponsor, and its subsidiaries, sales representatives, franchisees and franchisees’ affiliates, and each of their respective parents, subsidiaries and affiliated companies, advertising, promotional and judging agencies, persons engaged in the development, production or distribution of materials for this Sweepstakes (collectively, the “Released Parties”) and the immediate family members (parent, in-laws, grandparents, children, grandchildren, siblings, and spouse) of, or persons living in the same household as such individuals (whether related or not), are not eligible to participate in the Sweepstakes.
III. SWEEPSTAKES DESCRIPTION: Sponsor is conducting a promotion where Participants (defined below) are able to earn points (i.e., entries into weekly drawings and the Grand Prize (defined below) drawing) ("Entry Points") by participating in specific Sponsor provided activities that are further discussed below (including, without limitation, picking one (1) of the two (2) Dean’s Dipstakes cheese flavors of the week, and picking the winners of the football teams that you think will win that week's games via the Sponsor provided functionality). Each eligible person who registers to participate as described in Section IV below (each a “Participant”) will have the opportunity to accumulate Entry Points based on their winning football picks each week and may potentially earn additional Entry Points for participating in other activities that are explained in further detail in Rule V below. Fifteen (15) weekly winners will be selected during a random drawing at the end of each calendar week (as defined in Rule VII below) from among all Entry Points accumulated immediately preceding each weekly drawing. One (1) Entry Point equals one (1) entry into the weekly random drawings as well as one (1) entry into the final Grand Prize random drawing. Non-winning Entry Points awarded to Participants in the Sweepstakes are eligible for subsequent weekly drawings as Entry Points are kept cumulatively from week to week. At the conclusion of the Sweepstakes (February 9, 2010), the total number of Entry Points each Participant has accumulated throughout the fifteen (15) weeks of the Sweepstakes will be entered into a random drawing for the Grand Prize.
IV. HOW TO ENTER THE SWEEPSTAKES:
An individual will be deemed a Participant in the Sweepstakes if they are eligible and enter the Sweepstakes using at least one (1) of three (3) methods of entry described below:
Note: The Participant in this Sweepstakes for those who participate through Facebook is the one person who is the authorized account holder of the email address associated with that Facebook username. In the event of dispute regarding the identity of the holder of a Facebook username, disputes will be resolved in favor of the individual who is both the authorized holder of the Facebook Username and the password associated with the Facebook account (based upon information submitted at the time the account was created or updated upon registration for the Sweepstakes) and, if available, the "authorized e-mail account holder" of the provided when the User ID was created, but only if that person meets the eligible criteria in these Official Rules. "Authorized email account holder" is defined as the natural person assigned an email address by a Internet access provider, online service provider, or other organization (i.e., business, educational institution) responsible for assigning email addresses for the domain associated with the submitted email address. If a dispute cannot be resolved to Sponsor's satisfaction, the disputed Participant and his/her entries will be disqualified. Group entries into this Sweepstakes will not be accepted.
How to Accumulate Additional Entry Points (Refer to Entry Points Values Chart in Rule #V):
Note: During a week’s game where you have submitted your team and cheese flavor picks, you may go back at any time during that current week’s game (only) to modify or edit your submitted picks, and re-submit them as a new submitted pick. You may make these pick alterations until one (1) hour before the game kick-off time. After that time, the entry options for those games will no longer accept submitted input. You will only receive ten (10) Entry Points as a result of the first submitted pick, no matter how often you modify and submit new team and cheese flavor picks.

VI. INTERNET LIMITATIONS OF LIABILITY: If for any reason this Sweepstakes is not capable of running as planned for any reason, including, without limitation, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes, in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of or after (if applicable) this termination or suspension date. Any person who supplies false information, obtains entries by fraudulent means or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize will forfeit any prize won and may be prosecuted to the full extent of the law. CAUTION: ANY ATTEMPT TO DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
VII. WEEKLY PRIZE WINNER SELECTIONS, NOTIFICATIONS AND ODDS:
A calendar week begins on Monday at 12:00:01 a.m. (ET) and ends the following Sunday at 11:59:59 p.m. (ET) (“calendar week”). A day begins at 12:00:01 a.m. (ET) and ends the following 11:59:59 p.m. (ET). All times in these Official Rules shall be United States Eastern Time (“ET”). Whether that time is Eastern Standard Time or Eastern Daylight Savings Time will depend on the change of time dates that occur during the Entry Period. Sponsor’s Web Site is the official time keeping device for the Sweepstakes.

1. Each calendar week, a Participant should enter their picks as to which team(s) the Participant believes is going to win their games for the upcoming week. Participants are required to enter all of their predictions at least ONE (1) hour prior to any game kick-off time. Number of Entry Points is dependant upon the number of correct predictions (“Picks”) entered by Participant during each of the fifteen (15) weeks of the Entry Period, as well as through various interactions as defined in the Entry Points Value chart in Rule V above.
2. Each calendar week’s randomly drawn potential winners will be notified via Facebook message on the Facebook Web Site approximately every Monday on or about 12:00 PM ET. Potential winners who entered through the Sponsor's Web Site or entered with a 3x5 mail-in card (AMOE) will receive their notice by email or a phone call. Entry Points that appear in any one calendar week’s Sweepstakes will be carried forward to all other week’s Entry Point stats.
3. Potential Winner’s Required Response Time: Randomly selected weekly winners must respond via email or phone call to Sweepstakes Administrator, in accordance with the instructions in the notification which is to include their contact information: name, address, city, state, zip code, day and evening phone numbers and date of birth. Messages will not be accepted on answering machines or left with live persons. If a Participant declines the prize or is not available for any reason when called, his/her prize opportunity will be forfeited and, at Sweepstakes Administrator's discretion, an alternate winner will be selected. The decisions of Sponsor and/or Sweepstakes Administrator, as applicable, will be final and binding on all matters relating to this Sweepstakes.

Each potential winner must respond by 8:00 PM ET Monday, which will be the day they are notified that they are the potential prizewinner. If Sweepstakes Administrator does not receive a response by that time, another potential winner may be selected, in Sweepstakes Administrator's sole and absolute discretion.
4. Each week’s qualified prize winner will be featured on the Application as well as on Sponsor's Web Site.
5. All Participants’ weekly stats (except for Participants who enter through the AMOE) will be available for review on the leaderboard, located on Sponsor's Web Site every Tuesday on or about 6:00 AM ET. Participants identification will be displayed with their Facebook username and/or their first name with initial only of last name, depending on which of the two is available.
Odds of winning each weekly drawing will depend on the total number of eligible entries received at the time of the weekly drawing.
VIII. GRAND PRIZE WINNER SELECTION, NOTIFICATION AND ODDS:
The potential Grand Prize winner will be selected from among all Sweepstakes Participants, conducted, on or about February 15, 2010 by the Sweepstakes Administrator, an independent judging organization, whose decisions are final and binding in all matters relating to the selection of the Grand Prize winner of this Sweepstakes. One (1) Entry Point equals one (1) entry in the random drawing for the Grand Prize; the random sweepstakes drawing will include all Entry Points accumulated by all Participants. Therefore, the more Entry Points a Participant has accumulated, the more chances they have to win the Sweepstakes drawing. Potential winners will be notified via a Facebook message, email and/or phone notification (in Sponsor's sole discretion). Verification of potential Grand Prize winner confirmation will be sent to the potential Grand Prize winner in writing via USPS mail, or other home delivery service of Sponsor’s choice, in its sole and absolute discretion.
Odds of winning the Grand Prize will depend on the total number of eligible entries received at the time of the Grand Prize drawing.
IX. GRAND PRIZE AND WEEKLY PRIZES:
One (1) Grand Prize winner will receive the "Grand Prize", which is a home entertainment system consisting of one (1) large screen TV, five (5) speakers, one (1) stereo amplifier, one (1) tuner, one (1) Blu-Ray/DVD player. Approximate Retail Value (“ARV”): $4,000.00, and one (1) year’s supply (52) of FREE Dean’s® Dip Coupons valued at $2.99 each, ARV $155.48. The Total “ARV” of the Grand Prize is $4,155.48.
Fifteen (15) Weekly Prize winners will each receive one (1) of three (3) prize packages (each a "Weekly Prize"). Sponsor reserves the right, in its sole discretion, to issue any one of the three (3) prize packages to the Weekly Prize winner. Each prize package has an “ARV” of $300.00. Total Weekly Prize packages ARV: $4,500.00:

*Free coupons are redeemable for Dean’s® Dip, 12 oz and 16 oz only. Maximum value is $2.99. There is no limit on where the coupons can be redeemed. For the Grand Prize winner there are no restrictions on how many coupons can be redeemed at any one time. The expiration date for the Grand Prize winner coupons will expire on 4/30/2011.
Total ARV of all the prizes awarded in this Sweepstakes is: $8,655.48.
Portions of Weekly Prizes are subject to availability. Sponsor is not responsible for circumstances that make it impractical or impossible to fulfill the elements of any prize. Certain elements of prizes have no approximate retail value, and if it becomes impractical or impossible to fulfill those elements, Sponsor's only obligation will be to provide the remainder, if any, of such prize.
X. PRIZE TERMS AND CONDITIONS: The winners are required to comply with any and all applicable federal, state and local laws, rules and regulations. The Grand Prize winner and all Weekly Prize winners may be required to sign an Affidavit of Eligibility and Liability/Publicity Release (collectively, the “Prize Acceptance Release”), and return it within five (5) days of written notification. If a prize or prize notification is returned as unclaimed or undeliverable to a potential winner, if potential Grand Prize winner cannot be reached within three (3) calendar days from the first notification attempt, if a potential Weekly Prize winners cannot be contacted within the period set forth in Rule VII, or if potential winner fails to return requisite document within the specified time period, or if a potential winner is ineligible or not in compliance with these Official Rules, then such person shall be disqualified and, an alternate winner may be selected for the prize at issue. Parents or legal guardians of a winner under the age of majority in their state of residence (which is eighteen (18) in most states but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) may be required to also sign the Prize Acceptance Release in order for the Grand Prize winner to be qualified to receive their prize. The Prize Acceptance Release is subject to verification by Sponsor. The Grand Prize or Weekly Prizes are not exchangeable, transferable, or redeemable for cash, except in Sponsor's sole discretion. Sponsor is not responsible for cancellation or preemption of an event or for other circumstances that make it impractical or impossible to fulfill these elements of the prizes. Sponsor reserves the right, at its sole discretion, to substitute the Grand Prize and/or Weekly Prizes with another prize of equal or greater value in the event that the prizes (or any component thereof) is not available.
To claim a prize, you may be required to provide your correct full-name, mailing address, telephone number and/or e-mail address. Sponsor will not replace any lost or stolen prizes. Prize details and availability are subject to change, and in the event that Sponsor is unable to provide the a prize winner with the prize they won, the Sponsor may elect, at the Sponsor’s sole and absolute discretion, to provide winner with the approximate value of such item in cash or award an alternate prize of comparable or greater value. Prizing may be fulfilled by a third party. The Sponsor and its agents are not in any way responsible or liable for damages resulting from shipping and handling, loss, use or misuse of any prize awarded in this Sweepstakes.
The prize winners will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prize they receive. The stated ARV of the prizes is based on available information provided to Sponsor at the time these Official Rules were drafted (and any difference in ARV at the time of awarding will not be awarded) and the value of any prize awarded to a winner may be reported for tax purposes as required by law. A prize winner may be required to provide Sponsor with a valid social security number before a prize will be awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of a prize winner, or if a minor in the jurisdiction in which s/he resides, in the name of his/her parent or legal guardian, for the actual value of the prize received. Unclaimed prizes will be forfeited. All properly claimed prizes will be awarded.
Each winner’s acceptance of a prize constitutes permission (except where prohibited) for the Sponsor to use the winner’s name, photograph, likeness, statements, biographical information, voice and address (city and state) for any and all public relations, advertising and/or promotional purposes as determined by Sponsor, in all forms of media and by all manners (now and hereafter known), in perpetuity, without notice, consent, review or approval or further compensation.
XI. MODIFICATION: In no event will Sponsor be obligated to award more prizes than the number of prizes stated in these Official Rules. If for any reason Sponsor determines, in its sole discretion, that the Sweepstakes is no longer capable of running as intended by these Official Rules for any reason whatsoever, Sponsor reserves the right to cancel, terminate, suspend, postpone, delay or modify the Sweepstakes, in whole or in part, including, but not limited to, any occurrences described in Rule VI above, or any other causes which may corrupt or impair the integrity, security, fairness or proper conduct of the Sweepstakes. If Sponsor determines that more prize claims are submitted or more prize notices are distributed than the number of prizes offered in these Official Rules, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor. For example, Sponsor may select a winner in a random drawing from among the eligible entries received up to the time of the impairment or conducted a random drawing among all prize claimants, and neither Sponsor, the Sweepstakes Administrator nor any of the Released Parties shall have any further liability to any entrant in connection with the Sweepstakes.
XII. USE OF PERSONAL INFORMATION: The information that you provide in connection with the Sweepstakes entry process may be used by Sponsor for Sponsor's internal purposes in connection with operation of the Sweepstakes such as to communicate with entrant in relation to this Sweepstakes or on a Sweepstakes winner's list and such information will only be used to send entrants information about Sponsor's products and other offers if you consent to use in such manner. For more information about Sponsor’s use of personal information, see Sponsor’s privacy policy by clicking on the Privacy Policy link indicated on Sponsor's Web Site (http://www.venturafoods.com). Any requested opt-in consent is not required to enter the Sweepstakes and will not increase your chances of winning. You may opt out of receiving future e-mails from Sponsor by clicking on the link contained in the initial e-mail. You will remain eligible for this Sweepstakes whether or not you opt out of receiving promotional e-mails from Sponsor. All entries become the property of Sponsor upon receipt and will not be acknowledged or returned.
XIII. RELEASES: All Participants, as a condition of participation in this Sweepstakes, agree to indemnify, release and hold harmless Sponsor and Released Parties from and against any and all liability, claims, damages, injuries or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with: (a) accessing the Sponsor's Web Site or the Facebook Web Site, (b) participating in any aspect of the Sweepstakes, including, without limitation, while preparing for, participating in and/or traveling to or from any prize or Sweepstakes-related activity, including, without limitation, any injury, damage, death, loss or accident to person or property, (c) the receipt, ownership, possession, use or misuse of any prize awarded, (d) viruses or any downloading or other problems with the Sweepstakes Application, or (e) any typographical or other error in these Official Rules or the announcement of offering of any prize. Sponsor makes no representations or warranties of any kind concerning the appearance, safety or performance of any prize, except for any express manufacturer's warranty as may be included with the prize. The Grand Prize winner bears all risk of loss or damage to his/her respective prize after it has been delivered.
EACH PARTICIPANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS:
“CERTAIN CLAIMS NOT AFFECTED BY A GENRAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”
XIV. GOVERNING LAW/DISPUTES: By participating, Participants agree to be bound by the Official Rules, Sponsor's Web Site Terms of Use (if any and if applicable to Participant's method of participating), Facebook Web Site Terms of Use (if any and if applicable to Participant's method of participating), and the decisions of the Sponsor and Administrator, which are final and binding in all respects. The Sweepstakes and these Official Rules shall be construed and governed in accordance with the laws of the State of California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Participants, Sponsor, or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other states laws.
Except where prohibited, as a condition of participating in this Sweepstakes, the parties agree that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, or the determination of winners shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will Participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Participant's actual out-of-pocket expenses (e.g., costs associated with entering this Sweepstakes), and Participant further waives all rights to have damages multiplied or increased. The arbitration shall be conducted in the State of California, in the City of Brea, County of Orange, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. The arbitrator will apply the substantive laws of the state of California, will issue a written decision and will have the power to award any legal remedies except as limited by these Official Rules. The parties will split the arbitrator’s fee; provided, however, if applicable law requires Sponsor to pay the arbitrator’s fee in order for the arbitration provision to be enforceable, Sponsor shall have the discretion to elect to pay such fees and proceed to arbitration. Participant irrevocably waives any right to bring or join in any class action regarding the Sweepstakes. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. This arbitration provision shall be deemed to be self-executing, and in the event that any party fails to appear to any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear.
